TECLA Languages Limited Terms and conditions TECLA Languages Ltd Terms and Conditions 1. Definitions. 1.1 'The Company' means TECLA Languages Ltd, delivering language training through its trading name TECLA Languages Ltd. 1.2 'The Client' means: The individual in whose name the booking is made. The individual, Company or corporation enrolling, or participating on a training course or using The Company Services. 1.3 'The Participant' means the person attending a training course. 1.4 'Force Majeure' means any event falling beyond the control of The Company, which prevents the execution of its obligations, (such as severe weather conditions, problems with transports, acts of terrorism). 1.5 'Obligations of The Client' means those set out in Clause 3 of these Terms and Conditions. 1.6 'Obligations of The Company' means those set out in Clause 7 of Terms and Conditions. 1.7 'The Payment Fee' means the sum payable to The Company for its Services. 1.8 'The Services' means any service supplied by The Company. This includes training courses, language services as well as arrangements made by The Company to organise the provision of such Services. This list is not exhaustive. 1.9 'The Teacher' means a mother-tongue experienced and fully qualified person selected by The Company, to conduct The Services. 1.10  'Working Days' means every day of the week excluding Saturday, Sunday and UK statutory holidays. 2. Acceptance. 2.1 The Client accepts these Terms and Conditions by paying the Payment Fee. 2.2 Agreements and promises made by representatives or employees of The Company shall not be binding unless confirmed by the Director of The Company in writing. 3. The Obligations of the Client. The Client must: 3.1 Be at least 18 years of age to register for group courses. Younger students will be taken on private tuition basis 3.2 The Participant must be at least 18 years of age to use The Company's Services. 3.3 Allow The Company a minimum of 7 Working Days to arrange the assessment or the first lesson for private tuition and/or corporate training. This 7 Working Day period starts from the receipt of The Payment Fee. 3.4 Notify The Company and The Teacher of any cancellation 24 hours before the date and time of the lesson and re-arrange another lesson for the same week. Any lesson cancelled in less than 24 hours, before its scheduled time will be charged or deducted in full, as referred to in Clause 6 of these Terms and Conditions. In order to avoid continuous cancellations and rescheduling, no more than one cancellation and rescheduling will be allowed in a month. 3.5 Specific policies for private tuitions: 3.5.1 Unless otherwise previously agreed, private tuitions must be taken within a set period from the start: a) 7 weeks for a 5 lessons course b) 3 months for a 10 lessons course c)  17 weeks for a 15 lessons course d) 22 weeks for a 20 lessons course 3.5.2 Sign the time sheet provided by The Teacher at the start or end of each lesson. This shows the number of lessons completed and acts as a register. 3.6 Notify the Company of any change in the circumstances of The Participant within 2 Working Days, with the agreement of The Teacher. 3.7 Notify The Company of any problem related to the teaching or The Teacher as soon as possible in order to enable an early resolution. 3.8      Unless otherwise agreed in writing by the Director, private or group tuitions are not        transferable to third parties. 4. The Payment Fee. 4.1 The Payment Fee must be made directly to The Company. Any direct financial relationship with The Teacher is forbidden. Failure to comply with this prohibition shall result in a civil action. 4.2 The Payment Fee must be received prior to The Services commencement unless otherwise specifically agreed in writing by a Director of The Company. 4.3. Note that The Payment Fee is non-refundable and non-transferable unless otherwise stated in Clause 6 of these Terms and Conditions. 5. Methods of Payment. The Client can pay by: 5.1 Cheque: Payable to TECLA Languages Ltd. 5.2 Cash. 5.3     Online payment via the TECLA website or directly into the TECLA Account 6. Cancellations. 6.1 General cancellation policy 6.1.1 Group sessions will continue to take place even if some Participants are absent. The Client is invoiced for the number of Participants initially enrolled in the group. 6.1.2  If the number of Participants increases, The Client must notify The Company in writing. 6.1 3 One-to-one sessions cancelled with less than 24 working hours notice will be charged or deducted in full. 6.1.4. Late cancellations must be made by telephone directly to the Office. The Company will not accept responsibility for cancellations made by email. 6.2. Course fees are not refundable once The Services have commenced. 6.3.1 Cancellations must be notified in writing and the following charges will apply: If received 15 days or more before the start of the course the whole amount will be reimbursed, if received less than 15 days the whole amount of the fees paid will be transferred to another course of the Client's choice. If received between 10 days and 72 Working Hours before the start of the course: 40% of the total course fee will be charged. 6.3.2 No refund is made for cancellation received less than 72 Working Hours before the start date. Furthermore, as our public classes are organised for a limited number of participants, we regret that no partial refund can be arranged for classes not attended. 6.3.3 Any change of course timing or level requested by The Participant is subject to availability and administrative charge may apply. 6.3.4 Please note that we require a minimum of 4 people to run a course. In the event that The Company does not have enough participants to run a class, The Company reserves the right to postpone the commencement date or in extreme circumstances cancel the course, in which case an alternative option will be offered and if no alternative option is considered suitable by The Client the fees will be refunded in full. 6.3.5 All refunds will be paid to The Client within 10 Working Days from the first scheduled day of the course or the date of cancellation, whichever is earlier. 6.3.6 In the rare case of all students not attending the lesson for individual reasons, such lesson will be considered valid anyway, unless previously agreed. 7. Obligations of The Company. The Company must: 7.1. Organise a full refund of the Payment Fee to The Client if The Company have not been able to meet The Client's start date requirement provided by The Client at the booking stage. 7.2. Allocate a Teacher to The Participant according to their linguistic and professional requirements. 7.3. Contact The Client immediately in the event that The Teacher needs to cancel a lesson. 7.4. Re-arrange a cancelled lesson, whenever possible, during the same week. 7.5. Provide a replacement Teacher in the event that The Teacher can no longer continue to provide The Services at the Client's convenience within the limits stated in clause 8.6. of these terms and conditions. 7.6. Provide a new Teacher, if for any reason The Client wishes to change Teacher. 7.7. Provide The Client with an appropriate teaching programme, suitable to their specific needs. 7.8. If Force Majeure occurs while The Services are in progress, The Company will endeavour to make reasonable, alternative arrangements or postpone the lesson at the earliest convenient time. 8. Company Services. 8.1 The Services commence on receipt of part of, or the whole of The Payment Fee. 8.2 The Services may be subject to a separate agreement between The Client and The Company. Should no such contract exist, the terms and conditions described herein shall apply. 8.3 The Company shall reserve the right to modify or cancel any session or course in the event of unforeseen circumstances arising. In this case a suitable alternative or rescheduling of the session will be offered to the Client. 8.4 The Company reserves the right to make changes of Teachers if it considers this necessary. 8.5 The Participant is expected to attend their sessions at the scheduled time. Private tuition's students arriving late for their session will finish at the scheduled time, however if The Teacher is late the lesson will run for the scheduled amount of time and if not convenient the Client will be offered another lesson at a more convenient time. 8.6 The Services are provided by The Company Monday to Friday from 8 am to 8.30 pm. Week-end sessions depend on availabilities. 9. Use of Company Personnel. 9.1 On acceptance of a proposal The Client agrees not to make any separate arrangement with any Teacher or other person, who shall have been engaged either as an employee or independent contractor by The Company and who shall provide services for such Client directly or indirectly, unless previously endorsed by the Director and not to use The Services provided by The Company Personnel other than through The Company. Subject to the parties' approval, The Company may give full contact details of the Teacher to The Client (and Vice-versa) to facilitate communication during The Services but this is on the understanding that they will only use this information for the purposes of The Company business, and that they will not share this information with third parties. 10. Public Holidays. Courses which take place on a Monday might be affected by Bank Holidays. Some lessons do not run on Bank Holidays and missed lessons are postponed until the end of the course according to the class timetable. 11. Upgrading and down grading courses. 11.1 No refunds will be made to The Client if they exchange their original choice of course for one of lesser value. 11.2 If The Client exchanges their original choice of course for one of greater value, they must pay the difference between the two at the time of requesting the upgrade. 12. Jurisdiction. These terms and conditions shall be governed and construed in accordance with the laws of England and Wales.
